Terms of Use

Effective as of November 1, 2018.
Last updated on September 3, 2025.

These Terms of Use (“Terms”) govern the use of the LeadLovers Platform (“Software” or “Platform”), created and developed by LEADLOVERS TECNOLOGIA LTDA - ME, a private legal entity registered with the Brazilian National Registry of Legal Entities (CNPJ) under No. 22.799.684/0001-76, headquartered at Rua Norberto de Brito, 2047, Sobreloja, Centro, São José dos Pinhais - PR, Brazil, 83005-290, hereinafter referred to as the “Licensor”.

Acceptance of these Terms is absolutely essential for the use of the Licensor's Software. Before subscribing to the Software, you, hereinafter referred to as the “Customer”, must read, make sure you have understood, and agree to all the conditions set forth in these Terms.

1. REGISTRATION AND ACCESS TO THE SOFTWARE

1.1. The Software will only be made available to Customers who have the legal capacity to enter into contracts under Brazilian law. Customers who lack such capacity, minors, and Customers whose registration is suspended or canceled may not use the Software.

1.2. To become a registered Customer of the Software, all registration fields must be completed with valid data, in an exact, accurate, and truthful manner. The Customer must provide documents and information proving their identity and capacity to contract, either directly or through the legal representative acting on behalf of the respective legal entity, as requested to complete the registration. The Licensor may request other documents and additional information. The Customer undertakes to keep the information included in the registration up to date.

1.3. The documentation provided by the Customer at registration must be current, lawful, and valid. The Licensor assumes no responsibility for actively monitoring Customers, so any losses resulting from false or inaccurate information will be the sole responsibility of the Customer.

1.4. Access to the Software will be granted to the Customer once the payment for the contracted plan has been identified, and the access credentials will be sent by the Licensor to the Customer's email address provided at registration, including a password that the Customer may change later. If the email is not successfully sent immediately after the Customer's payment is identified, there will be 4 (four) further attempts to send it, as follows:

a) Sent 30 (thirty) minutes after the payment is identified;

b) Sent 2 (two) hours after the first attempt;

c) Sent 4 (four) hours after the second attempt;

d) Sent 24 (twenty-four) hours after the payment is identified.

1.4.1. The Licensor will never ask for your password through any other means, or for any purpose other than accessing the Software.

2. USE OF THE SOFTWARE

2.1. Upon completing their registration and accepting these Terms, the Customer may use the Software for the different services and features included in the contracted plan, as provided for in these Terms.

2.2. By using the Software, Customers are granted a paid, non-exclusive right to use the features made available by the Software, limited to the scope of what has been contracted and to the other purposes set forth in these Terms.

2.3. For Customers to access new services or features, they must request an upgrade of the contracted plan by selecting it within the Software itself and providing the information required or requested by the Licensor. Matters related to plan “upgrades” and “downgrades” are governed by Clause 4 below.

2.4. The Customer will be responsible for any and all access to the Software made using their access credentials, including their registration email and password, and will be liable for any losses and damages that may result from such access.

2.5. The Customer is strictly prohibited from taking any action or using any device, software, or other means intended to interfere with the activities and operations of the Platform. Any intrusion, activity, or attempted violation that is contrary to law, including, without limitation, laws on intellectual property rights, and/or to the prohibitions set forth in these Terms, will be subject to the appropriate legal measures, including those of a criminal nature.

3. DEVELOPMENT, CONNECTION AND MAINTENANCE OF THE SOFTWARE

3.1. The Licensor is responsible for developing the Software and keeping it up to date, so that Customers can access and enjoy the services and features offered under the contracted plan. The Licensor may interrupt the availability of the Software at any time for scheduled downtime, without prior notice to Customers, while making every effort to carry out such downtime outside business hours. The Licensor is not obligated to keep the Software available indefinitely and shall have no liability to Customers in the event of any unavailability or need for unscheduled maintenance.

3.2. In order to enjoy the services and features offered through the Software, the Customer must ensure a continuous and fast Internet connection. The Customer is solely responsible for the quality of their Internet connection.

3.3. The Customer acknowledges that the quality of the Internet connection depends on, among other factors, the Internet access provider and the Internet infrastructure provider, the volume of other uses the Customer makes of the bandwidth available at any given time, and the quality of the connection equipment in their possession, and that the Licensor has no control over or responsibility for the Customer's Internet connection.

3.4. The Licensor shall not be liable for any virus that may infect any of the Customer's equipment as a result of accessing, using, or checking the Software, or of any transfer of data, files, images, texts, or audio contained therein. The Customer may not hold the Licensor liable, nor demand payment for direct material damages, moral damages, indirect damages, or loss of profits, for losses resulting from failure to comply with the provisions contained herein, arising from technical difficulties or failures in the Software or on the Internet. The Licensor does not guarantee continuous or uninterrupted access to and use of the Software. The Software may occasionally be unavailable due to technical difficulties or Internet failures, or due to any other circumstance beyond the Licensor's control, in which case the Licensor will seek to restore access to the Software as soon as possible, without this giving rise to any kind of liability.

3.5. Customers are strictly prohibited from taking any action or using any device or other means intended to interfere with the activities and operations of the Software. Any intrusion, activity, or attempted violation that is contrary to law, including, without limitation, laws on intellectual property rights, and/or to the prohibitions set forth in these Terms, will be subject to the appropriate legal action by the Licensor.

3.6. The Licensor's technical support to the Customer regarding the Software will be provided Monday through Friday, during business hours, preferably through the online chat available on its website (leadlovers.com). Alternatively, technical support may be provided by phone or through the email address also listed on the Licensor's website.

3.7. Given the nature of the service provided by the Licensor, and in order to always provide the best customer service, Customer service and support will be provided exclusively through the Zendesk platform.

4. PLANS, UPGRADE AND DOWNGRADE

4.1. When contracting the use of the Software, the Customer must choose one of the plans available on the Licensor's website, where they can review the features of and differences between the respective plans.

4.2. A plan upgrade (“Upgrade”) may only be requested by the Customer if payments for the current plan are up to date; otherwise, the Customer must regularize their situation before purchasing a higher-capacity plan.

4.3. A “downgrade” of the contracted plan may be requested by the Customer at any time and will take effect on the next monthly billing cycle. Until then, the Customer may continue to enjoy the benefits of the previously contracted plan.

4.4. Plan prices may be adjusted for inflation annually, every 12 (twelve) months, counting from the date on which the Customer accepted these Terms and contracted the Platform, based on the IGP-M/FGV index.

5. AUTOMATIC SUBSCRIPTION RENEWAL

5.1. The Software subscription will be renewed automatically at the end of the term of the respective subscribed plan, unless the Customer gives notice up to 48 (forty-eight) hours prior to the renewal of the respective plan. This item may be amended through contractual negotiation.

5.2. The Customer hereby agrees to the renewal method of the subscription of the chosen plan. If the Customer does not object to the renewal within the period mentioned in Clause 5.1 above, the Customer shall pay the amounts related to the renewed plan, unless there is a contractual provision to the contrary.

6. CANCELLATION AND DELETION

6.1. Contracts for the Software and the respective plans may be canceled at any time, at the initiative of either party.

6.2. Billing of the amounts due under the contracted plan will stop once the Customer requests the cancellation of the respective plan's subscription from the Licensor's team.

6.2.1. Upon the request to cancel the subscription, the Customer's access to the Software will be blocked immediately, and the automatic recurring billing by the Licensor and by the Hotmart platform will cease as of the following period, with no refund of any amounts already paid by the Customer.

6.2.2. A request for early termination by the Customer will incur a fine equal to 50% (fifty percent) of the remaining amount of the contracted period, and the respective Customer's access to the Software will be blocked immediately.

6.2.3. The Customer will only receive a full refund of the amount paid if the subscription is canceled within 7 (seven) days after the first purchase.

6.2.4. Add-on plans contracted later, such as dedicated IP and SMS, as well as the “deliverability test” plan, will not be refunded.

6.2.5. For single-payment credit card purchases, the purchase amount will be refunded to the Customer on their next credit card statement, or on the following month's statement, within 30 (thirty) to 60 (sixty) days, depending on the closing date of the statement and the internal procedures of the credit card company.

6.2.6. Refunds of amounts paid by bank slip (boleto) will be made to a checking account. As soon as the refund is processed in the Hotmart system (an independent platform used by the Licensor to process and manage payments), the Customer will receive an email to register the bank account to which the refund will be made.

6.2.7. For credit card payments in installments, the amount paid will continue to be charged on the successive statements of the respective card, without reversal of the charges, and the refund due will be made by the Licensor by bank transfer (TED) or PIX to the bank account provided by the Customer by contacting the Licensor's support team, pursuant to Item 3.6 of these Terms. The bank account details provided must match those on the invoice issued by the Licensor for the Customer's subscription to the relevant Platform plan; otherwise, the Licensor will withhold the amounts until the matter is duly clarified.

6.2.8. Amounts paid for plans belonging to accounts banned for violating these Terms will not be refunded. The Platform's 7 (seven) day trial period guarantee does not apply to bans.

6.2.9. Amounts paid for any charge subsequent to the first purchase will not be refunded, even if requested within 7 (seven) days of that charge, since the trial and cooling-off period applies only to the first 7 (seven) days from the date of the Customer's first subscription.

6.3. The Licensor may remove Customers who do not act in accordance with these Terms or applicable Brazilian law, especially in the cases defined in Clause 9 below, without prior notice, in which case the Customer's registration and access to the Software will be suspended immediately, without prejudice to the collection of all amounts owed by the Customer under these Terms, the use of the Software, and the contracting of the respective plan.

7. FEES AND PAYMENT METHOD FOR THE USE OF THE SOFTWARE

7.1. After contracting and subscribing to the Software, the Customer must make payments through a monthly charge issued by the Licensor, using one of the payment methods it makes available, at its sole discretion.

7.2. Not accessing the Platform and/or not using the services and features offered through the Software will not exempt the Customer from paying the monthly fee, as payment is due for the mere availability of such services.

7.3. Credit card purchases will result in automatic monthly recurring payment of the subscription, which will appear on the statement of the card used.

7.4. Bank slip (boleto) purchases will result in the slip being sent monthly to the email address registered by the Customer at the time of contracting.

7.5. The corresponding invoice (Nota Fiscal) will be issued within 7 (seven) days after payment confirmation and sent to the Customer by email.

7.6. Any discount coupon provided to the Customer by the Licensor and its partners may be used only 1 (one) time, limited to a single CPF/CNPJ (Brazilian individual or corporate taxpayer ID), and is non-transferable and non-cumulative.

7.6.1. A new discount coupon may only be activated on new subscriptions, and discount coupons are valid for a maximum of 2 (two) months.

8. DEFAULT BY THE CUSTOMER

8.1. Failure by the Customer to pay the monthly fee for 7 (seven) days or more will result in their account being blocked and, consequently, in their access to the Software being blocked. Hotmart (an independent platform used by the Licensor to process and manage payments) will notify Customers by email of overdue monthly fees before the Licensor blocks the respective Customer's account.

8.2. Access to the Customer's account will only be restored upon payment of all overdue monthly fees, including inflation adjustment based on the IGP-M/FGV index, accruing from the day after the payment due date, plus the applicable statutory late-payment interest of 1% (one percent) per month.

8.3. After being notified that the account has been blocked for non-payment, the Customer will have an additional period of 3 (three) days to settle the overdue payment. Failure to settle the payment within this additional period will result in the cancellation and complete deletion of the Customer's account, without prejudice to the Licensor taking the appropriate judicial and extrajudicial measures.

8.4. If it is found that the Customer used the Software without due payment, and no subscription cancellation was requested, the amount for the period used may be charged by the Licensor through the appropriate means, plus inflation adjustment and late-payment interest under Clause 8.2 above, without prejudice to the collection of any attorney's fees and court costs.

9. BREACH OF CONTRACT

9.1. Without prejudice to other measures, the Licensor may warn, suspend, or cancel, temporarily or permanently, a Customer's account and access to the Software, at any time and without prior notice, including within the 7 (seven) day statutory period provided for in Article 49 of Law No. 8,078/1990 (“Consumer Protection Code”), and may also initiate the appropriate legal action, in the following cases:

  • if the Customer: (i) violates any provision of these Terms; (ii) is late in paying the monthly fee, as set out in Clause 8 of these Terms; (iii) fails to fulfill their duties as a Customer towards the Licensor; or (iv) commits fraudulent or willful acts;
  • if the Customer deliberately carries out a chargeback, contracting and using the Software but canceling said contract in bad faith within the statutory cancellation period mentioned in Item 8.1 above, only to obtain a refund of the amount paid, in which case said refund will not be due;
  • if any information provided by the Customer is incorrect; or
  • if the Licensor considers that any conduct of the Customer has caused any damage to third parties or to the Licensor, including to its image and reputation in the market, or has the potential to do so.

9.2. The Customer shall indemnify the Licensor against any claim brought by other Customers or any third parties arising from the Customer's activities on the Software, from their breach of these Terms, or from the proven violation of any law or third-party rights.

10. ILLEGAL, UNETHICAL OR PROHIBITED USE OF THE SOFTWARE BY THE CUSTOMER

10.1. It is prohibited to use the Software to publish, create, store, and/or disseminate illegal or abusive content, as well as texts, photos, and/or videos that are defamatory, xenophobic, discriminatory, obscene, offensive, threatening, or that encourage improper conduct, that are abusive or fraudulent, that harm, interrupt, or interfere with the services, that are humiliating or harmful, that contain expressions of hatred against people or groups, or that contain child pornography, explicit or violent pornography, content that may be harmful to minors, or religious or racial insults or threats, or that encourage moral (including bodily) or property damage, or that may violate any third-party right, including privacy and intellectual property rights, as well as for acts related to the creation, dissemination, and spread of false information (“Fake News”). Therefore, using the Software for any of the activities mentioned herein is considered serious misconduct, subject to the immediate termination of the services provided by the Licensor and of access to the Platform.

10.2. It is also prohibited to use the Software to send spam (abusive emails). If the Customer is found to be using the Software to send spam, the Licensor reserves the right to block the Customer's account.

10.3. The Licensor uses the following criteria for spam checks:

  • Minimum delivery rate of 98% (relative to the number of emails sent);
  • Minimum open rate of 10% (relative to the number of emails sent);
  • Maximum hard bounce rate (recent) of 2% (relative to the number of bounced messages in the last 15 days);
  • Maximum hard bounce rate (total) of 30% (relative to the total number of contacts).

10.4. The Customer acknowledges that the “HARD BOUNCES” mentioned in Clause 10.3 above are errors that occur when the recipient is permanently unable to receive the email, and that they must be handled more strictly than temporary errors. Such errors may occur for several reasons, for example because the destination email addresses do not exist (spamtraps) and/or because they have been inactive for a long period (5 months, as a rule). This type of response is especially damaging to the delivery of the Customer's campaigns because they are immediately rejected by the provider. The most common responses relate to non-existent accounts or domains.

10.5. If the Customer intends to perform a “cold list cleanup” (importing a cold list of leads into the system in order to extract the leads that still engage with the Customer, thereby carrying out successive imports), they must purchase a “DEDICATED IP” for this purpose. A “cold list” is a list of leads that meet the characteristics set out in Clause 10.8.2 below.

10.6. If the Licensor identifies that the Customer is performing successive exports and imports exceeding 2 (two) times the current account limit, with more than 2% (two percent) of leads in Hard Bounce status, and/or the account's sending reputation is below 90% (ninety percent), the account may be blocked. The Customer will be notified by email before the block.

10.7. If the Licensor identifies a high number of successive imports made by the Customer within a short period of time, the Licensor may, at its sole discretion, block the Customer's future imports indefinitely. The Customer will be notified by email before the block.

10.8. Emails sent by the Customer will be limited to a certain monthly volume, according to the plan contracted when subscribing to the Software.

10.8.1. Bulk email sending will be deemed to occur when the Licensor finds that the total number of emails sent in the last 7 (seven) days is equal to or greater than 3 (three) times the total balance of the active contracted plans.

10.8.2. Disengaged and/or cold leads are leads that:

  • Were not registered on the platform through the proper opt-in mechanism;
  • Were registered on the platform by importing a list of leads;
  • Have no opens recorded in the last 10 emails sent.

10.9. The Customer also acknowledges that the Licensor, upon identifying a very large volume of emails sent, may at any time perform an automatic cleanup of the Customer's account, regardless of any request, authorization, or prior notice to the Customer, removing all leads that have not opened or accessed any of the last 30 (thirty) emails sent, thereby freeing up space in the Software for new leads, preserving the Software's reputation and metrics, and preventing typical SPAM behavior. In this case, the Customer will be duly informed by email about the process and the number of disengaged leads removed. The Customer may request, through the Licensor's support channels, a list of the leads removed through this process, to be provided by the Licensor.

10.10. It is prohibited to import into the Software lists of leads obtained from illegal sources or by illegal means. The Licensor may question the Customer about the source and the method used to obtain any list of leads imported into the Software. If any illegality is found, the list will be rejected. The Licensor may block the import of email lists from customers with a history of being banned for violating the terms of use, and may also block the import of email lists identical or similar to those that were once part of another account that violated the terms of use.

10.11. In addition, the Customer agrees that, when using the Software, they will not:

  • Violate any rule contained in these Terms of Use;
  • Engage in or spread falsehoods/fake news, understood as false information (i.e., the deliberate and voluntary dissemination of information that the Customer knows to be false or that is notoriously false) and misrepresentation;
  • Post or transmit any abusive or offensive content in comments;
  • Commit fraud;
  • Violate or infringe any third party's intellectual property rights, fiduciary or contractual rights, or privacy or publicity rights;
  • Spread, distribute, or transmit destructive code, whether or not it has caused actual damage;
  • Collect personal or business data, including (but not limited to) email addresses and/or names, from any Internet resource, whether managed by the Licensor or by third parties, for commercial, political, charitable, or other purposes, without the consent of the owners of such data;
  • Reproduce, replicate, copy, alter, modify, sell, resell, or create derivative works from any of the Licensor's services or any part thereof, including websites and web pages, or the information or data contained in the Software's services;
  • Transmit content that does not belong to the Customer or that the Customer has no right to publish or distribute, whether under law or contract;
  • Access the Software without authorization, through “hacking”, “password mining”, or any other fraudulent means or means that violate third-party rights;
  • Carry out or encourage any illegal activities;
  • Promote gambling, pyramid schemes, and/or fraudulent financial schemes;
  • Fail to comply with any applicable laws, standards, rules, principles, and regulations.

10.11.1. Violation of any of the rules set forth herein will result in access to the Software being blocked, without prejudice to the cancellation of the Customer's account and any claims for losses and damages.

10.12. The Licensor is not responsible for content published through the Software and may remove content from the Internet if it is found to violate these Terms or third-party rights.

11. SHARED ACCESS

11.1. Sharing access credentials is not allowed under any circumstances, and the Customer's access may be blocked if the system detects access from different IP addresses. For blocked access, the Customer will have to wait up to 72 (seventy-two) hours for access to be restored, after review by the Licensor's IT team.

11.2. Sharing access credentials, as well as copying and/or distributing content without the written authorization of the respective author, is considered piracy.

11.3. Leadlovers grants the Customer a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform and its services, strictly for the Customer's own internal business purposes, in accordance with these Terms of Use. The sale, resale, sublicensing, rental, leasing, lending, distribution, or any other form of commercial exploitation of the Platform or its services to or by third parties is expressly prohibited without the prior, express, and written consent of Leadlovers. Any attempt at unauthorized sale or resale will constitute a material breach of these Terms of Use and of Leadlovers' intellectual property rights, subjecting the violator to the appropriate legal measures, including immediate termination of the account and claims for losses and damages.

12. GENERAL TERMS AND CONDITIONS

12.1. By contracting the Licensor's Software, the Customer is fully aware that the system undergoes changes daily and that prior notice of each change is not mandatory, unless the Licensor deems it necessary, at its sole discretion.

12.2. The Customer is also fully aware that they may encounter “bugs” in the Software, that is, process failures, as well as slowness and the inability to use the system for a few hours.

12.3. The Customer represents and warrants that they are not located in any country, region, or territory subject to an embargo or comprehensive sanctions by the United States of America. The Customer also represents and warrants that they are not included on any list of prohibited or restricted parties maintained by the U.S. government or by other applicable governmental authorities. Leadlovers does not authorize, and strictly prohibits, the use of its platform and services in jurisdictions, or by entities and individuals, subject to applicable sanctions and export controls, including U.S. law. Any attempt to circumvent these restrictions will result in the immediate termination of the Customer's account and the discontinuation of all services, with no right to a refund.

12.4. Specifically for plans that include sending SMS messages to leads, there are certain words related to sensitive or illegal topics which, if included in the SMS text, may cause the respective messages to be blocked by mobile carriers, for reasons entirely beyond the Licensor's control, preventing their actual delivery to recipients. Such words are defined at the sole discretion of the mobile carriers and are not publicly disclosed, so the Licensor has no way of knowing which words they are. Accordingly, the Customer acknowledges that, in cases where SMS messages are not delivered to recipients due to blocking by mobile carriers, the amounts due will be charged normally by the Licensor, and the Customer will not, in such situations, be entitled to any kind of refund and/or compensation.

12.5. The Licensor is not liable for any material damage, moral damage, or loss of profits resulting from unforeseen bugs, blocking of messages sent to leads by third-party platforms or companies, and/or temporary external events to which every company is subject.

12.6. These Terms will be periodically reviewed by the Licensor, which may amend them by deleting, modifying, or adding clauses or conditions, at its sole discretion. Nevertheless, the Customer will be notified through the Software itself whenever the provisions of these Terms are changed, so that they are aware of the new conditions. If the Customer does not agree with the changes, they must cancel their registration and cease any and all use of the Software.

12.7. Under no circumstances shall any employment relationship, or any labor or social security obligations, be presumed to exist between the Parties, whether directly or with the agents or employees of the other Party, nor shall either Party be the guarantor of the labor and social security obligations and charges of the other Party, which hereby assumes full responsibility for such obligations, including civil and criminal liability.

12.8. Taxes of any nature due as a direct result of contracting the Software offered by the Licensor are the sole responsibility of the taxpayer of the respective tax, as defined in the tax legislation.

12.9. The Parties shall comply, and shall ensure that all of their employees, subcontractors, consultants, agents, or representatives comply, with Law No. 12,846/2013 and other applicable anti-corruption laws. Neither Party shall pay, offer, promise, or give, directly or indirectly, any money or anything of value, including any amounts paid to it as a result of the contracted services, to any employee or official of a government, of a government-controlled or government-owned company or entity, political party, or candidate for political office, or to any other person knowing or believing that such money or thing of value will be passed on to someone, in order to influence any act or decision by such person or by any governmental body for the purpose of obtaining, retaining, or directing business to either Party.

12.10. These Terms constitute the entire agreement between the Parties regarding the use of the Platform and supersede any prior agreements.

12.11. The courts of Curitiba, State of Paraná, Brazil, are hereby elected to settle any disputes regarding the use of the Software or these Terms, to the exclusion of any other, however privileged it may be.

THE CUSTOMER HEREBY REPRESENTS AND WARRANTS TO THE LICENSOR THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO ALL THE PROVISIONS OF THESE TERMS.

THE CUSTOMER, AS WELL AS THEIR RESPECTIVE LEGAL REPRESENTATIVES, DECLARE THAT THEY ARE DULY AUTHORIZED TO ACCEPT THESE TERMS, IN ACCORDANCE WITH THEIR RESPECTIVE ORGANIZATIONAL DOCUMENTS.
